Terms and conditions of sale and provision of services

ARTICLE 1 -- SUBJECT MATTER AND DEFINITIONS

1.1 Purpose
These Terms and Conditions (hereinafter "T&Cs") govern the contractual relationship between The Restory and the Customer, defining the rights, obligations and responsibilities of the parties in relation to the restoration and repair Services offered by The Restory.

1.2 Definitions
For the purposes of these T&Cs, the following definitions apply:

a) "The Restory" or "Seller": the sole proprietor or company that provides the Services covered by this agreement;

b) "Customer" or "Purchaser": any natural or legal person who, upon acceptance of these T&Cs, purchases a Service through The Restory website and makes the relevant payment;

c) "Service" or "Services": the restoration, repair and treatment of the Items, as specified in the repair packages available on The Restory website;

d) "Item" or "Items" or "Goods": items owned by the Customer, such as bags, accessories and similar, subject to the Services offered by The Restory;

e) "Repair Package": the predefined commercial offer including one or more standard Services, which can be purchased from The Restory website;

f) "Standard Service": the repair or restoration work provided for and described in the Repair Packages purchased by the Customer;

g) "Extraordinary Service": any repair or restoration work which, due to its complexity, the extent of the damage or technical characteristics, exceeds what is provided for in the Standard Service and requires an ad hoc assessment and quote;

h) "Courier": the carrier responsible for transporting the Items between the Customer and The Restory.

ARTICLE 2 -- ORDERING PROCEDURE AND PROVISION OF SERVICES

2.1 Conclusion of the Contract

The contract between The Restory and the Customer is concluded upon completion of the online checkout procedure and payment for the chosen Repair Package. By making payment, the Customer is declaring that they have read and accepted these T&Cs in full.

2.2 Stages of the Service Provision Process

The provision of the Service consists of the following stages:

 a) Purchase of the Repair Package

 The Customer selects the desired Repair Package from The Restory website and proceeds to checkout and makes payment;

 b) Submission of Notes and Photographic Documentation

 Following checkout, the Customer may send The Restory notes and photographic documentation on the Item to be submitted for the Service, in the manner indicated on the website or communicated by e-mail;

 c) Shipment of the Item

 The Customer ships the Item to The Restory's operational headquarters by Courier. Any liability for damage, loss or delay shall fall exclusively on the Customer;

 d) Receipt and Analysis of the Item

Upon receipt, the Item is subjected to a technical analysis by The Restory's qualified personnel to verify the feasibility of the Standard Service envisaged in the Repair Package purchased;

 e) Execution of the Standard Service

 If the analysis confirms the possibility of performing the Standard Service, The Restory then restores the Item, using techniques and materials aimed at restoring the condition of the Goods as far as technically possible;

 f) Return of the Item

 Once the Service has been completed, the Item is returned to the Customer, using the address indicated by the Customer during the purchase procedure.

2.3 Extraordinary Repair Management

If, following the analysis referred to in section 2.2 letter d), The Restory deems the Standard Service either technically impossible or inadequate with respect to the conditions of the Item, The Restory will promptly notify the Customer, who may opt alternatively for:

 a) the return of the Item in the state in which it was received, without any intervention. In this case, The Restory will deduct a lump sum of €150 from the fee already paid as reimbursement for the costs incurred for the technical analysis, cleaning and sanitising of the bag, returning the difference to the Customer;

 b) the drawing up of a quote for an Extraordinary Service, entailing additional costs and/or processing time beyond the originally purchased Repair Package.

 Acceptance of the quote for the Extraordinary Service will require payment of the relevant additional fee on top of what has already been paid.

2.4 Delivery Time

Delivery times communicated by The Restory are purely indicative and do not constitute an essential element of the contract. The Restory undertakes to complete the Services as promptly as possible, with it being understood that any delays shall not entitle the Customer to make any claim for damages or penalties. The Restory estimates standard processing times at roughly 6-8 weeks, depending on the difficulty of the restoration.

 

ARTICLE 3 -- CONSIDERATION AND TERMS OF PAYMENT

3.1 Prices

All prices shown on The Restory website are in Euros (€) and are inclusive of VAT and any other applicable taxes in accordance with current legislation. The Restory also reserves the right to display prices in other currencies, such as US Dollars (USD) and British Pounds (GBP).

3.2 Terms of Payment

Payment shall be made in full at the time of purchase of the Repair Package, prior to the commencement of the Service. Payment may be made by:

 a) credit or debit card, via the Stripe secure payment system integrated into The Restory website;

 b) PayPal;

3.3 Irrevocability of Payment

Once the Service has been performed on the Item, even if only partially, the consideration shall be deemed to have been definitively acquired by The Restory and shall not be subject to reimbursement, subject to the assumptions of contractual liability of The Restory expressly provided for in these T&Cs.

3.4 Payment for Extraordinary Services

Any Extraordinary Services, or those deemed necessary by The Restory, shall be subject to entry into a new contract and the payment of an additional fee, determined through a specific quote. Payment for extraordinary services must be made by bank transfer or again on the site to an address indicated by The Restory.

 

ARTICLE 4 -- RIGHT OF WITHDRAWAL

 

4.1 Applicability and commencement of the Right of Withdrawal

If the Customer is a consumer within the meaning of the Consumer Code (Italian Legislative Decree 206/2005), they shall have the right to withdraw from the contract within 72 (seventy-two) hours of its conclusion, without needing to provide reasons and without incurring costs other than those envisaged in this article.

4.2 Procedures for exercising the Right of Withdrawal

In order to exercise the right of withdrawal, the Customer must send The Restory, before the expiry of the period referred to in section 4.1, an unequivocal communication of their decision to withdraw from the contract, by means of:

 a) an email to [insert email address];

 b) the withdrawal form available on The Restory website.

4.3 Restrictions on the Right of Withdrawal

The right of withdrawal shall lapse if at least one of these conditions is met:

 a) the Customer has already sent the Item to The Restory;

 b) The Restory has already taken charge of the Item at its operational headquarters;

 c) the Service has been started or completed, even if only partially (e.g. by attempted collection by the courier at the customer's premises);

Should the customer wish to withdraw from the service after one of these circumstances, any refund, even partial, of the amount paid for the service will be granted at the sole discretion of The Restory.

4.4 Effects of Withdrawal

In the event of a valid exercising of the right of withdrawal, The Restory shall reimburse all payments received from the Customer, including delivery costs, without undue delay and in any event within 14 (fourteen) days from the day on which it was informed of the decision to withdraw. Refunds will be made to the same means of payment used by the Customer for the initial transaction, unless otherwise expressly agreed.

 

ARTICLE 5 -- OBLIGATIONS OF THE RESTORY AND PERFORMANCE OF SERVICES

5.1 Professional Diligence

The Restory undertakes to perform the Services with the utmost professional diligence, employing qualified personnel, appropriate techniques and suitable materials.

5.2 Limits of Performance and Acceptance of Risk

By accepting these T&Cs, the Customer expressly acknowledges and agrees that

 a) restorations and repairs may lead to changes in the colour tone, texture, patina and aesthetic characteristics of the Item;

 b) even where the Service is performed in accordance with industry standards, the outcome cannot be guaranteed to perfectly match the original condition of the Item;

 c) some pre-existing damage, structural defects or hidden defects may not be visible or detectable before the commencement of the Service.

5.3 Specific Limitations for Delicate Materials

The Customer is expressly informed of and accepts the following technical notes:

 a) Suede, Nubuck and Similar Materials: due to the porous and delicate nature of these materials, some types of stains (especially those of oily origin, dyes, inks or penetrating substances) may not be completely removable. A significant improvement of the conditions of the Item may not be technically possible and the Customer shall accept the risk that the result may not meet their expectations;

 b) Fabrics, Canvas and Non-Leather Materials: it is not always possible to apply covering products to these materials to mask permanent stains. Treatment may be limited to cleaning the surface and attempting to reduce the defect, depending on the strength of the material;

 c) Treated and Patent Leather: cleaning and restoration treatments on leather with special finishes (varnishes, laminates, metallic effects) may cause alteration or partial removal of the original finish;

 d) Materials with Intrinsic Structural Defects: The Restory accepts no liability for the failure or unsatisfactory result of an intervention caused by inherent problems in the quality of the material or the original structure of the Item.

e) Metals and other accessory materials: The Restory may repair or replace accessories (e.g. chains, bag feet or rings) that do not feature a logo. In the case of components with a logo, The Restory will not be able to replace the part and will only carry out a cleaning or repair.

5.4 Irreversibility of the Service

The Customer acknowledges and accepts that any Service performed by The Restory on the Item is to be considered irreversible and that it will not be possible to restore the Item to its pre-intervention condition.

5.5 Changes to the Service

Modifications or additions to the Service covered by the purchased Repair Package are not permitted, except as provided in section 2.3, if the Extraordinary Service proposed by The Restory is required.

5.6 Exclusion of Liability for Pre-existing Damage

The Restory shall accept no liability for damage, defects, wear and tear or faults pre-existing at the time of service and not detectable before the start of the Service.

5.7 Exclusion of authenticity verification.

The Customer acknowledges and accepts that THE RESTORY shall not perform, and is not obliged to perform, any activity of verification, certification or confirmation of the authenticity of the products sent for repair. THE RESTORY undertakes only to provide the repair service according to the package chosen by the Customer, assuming no responsibility for the origin, authenticity or legitimacy of the product. Any references to techniques, materials or brand codes are for operational and aesthetic purposes only and in no way constitute a guarantee of authenticity or absolute conformity to the original product.

 

 

ARTICLE 6 -- SHIPMENT, TRANSPORT AND DELIVERY

6.1 Shipment of the Item to The Restory
The Customer is responsible for the proper preparation, packaging and shipment of the Item.

6.2 Liability during Transport

If the Courier used is not accredited by The Restory, the Customer or the Courier itself shall be liable for any damage, loss, delay or deterioration occurring during transport.

6.3 Exclusion of Liability for Accessories

The Restory accepts no liability for lost, damaged or missing certificates of authenticity, dust bags, boxes, original packaging or other accessories sent but not expressly mentioned during checkout.

 

ARTICLE 7 -- CUSTODY OF THE ITEM

7.1 Transfer of Custody

Items for which the contract has been duly finalised through payment for the Repair Package and which have been received at the operational headquarters of The Restory shall be deemed to be in the custody of The Restory.

7.2 Exclusions from Custody

The following shall not be considered to be in the custody of The Restory and are therefore excluded from insurance cover:

 a) Items for which payment for the Repair Package has not been made;

 b) Items in transit, during transport to The Restory.

ARTICLE 8 -- WARRANTY AND INSURANCE

8.1 Insurance Cover

Each Item in the custody of The Restory pursuant to Article 7 is covered by an insurance policy taken out with a leading insurance company.

 In the event of documented theft or loss at its premises, The Restory shall be obliged to pay the customer an amount equal to the market value of the goods at the time of the loss, determined by taking into account the state of wear and tear, age, general condition and any other element that may affect its depreciation.

8.2 Warranty on Services Performed

The Restory shall guarantee the Services performed for a period of 6 (six) months from the date of return of the Item to the Customer. This warranty only covers defects or imperfections directly and unambiguously attributable to the intervention carried out by The Restory, excluding:

 a) damage resulting from misuse, negligence or normal wear and tear of the Item;

 b) damage caused by third-party interventions subsequent to the Service provided by The Restory;

 c) pre-existing defects or flaws;

 d) deterioration due to fortuitous events, chance or force majeure;

e) limitations on the provision of repair services, as set out in section 5.

8.3 Warranty Procedure

In order to make use of the warranty, the Customer must promptly notify The Restory, and in any event within 7 (seven) days of discovery, of the defect found, providing adequate photographic documentation. The Restory reserves the right to assess the admissibility of the claim and, if recognised as well-founded, to repair the defect.

 

ARTICLE 9 -- USE OF PHOTOGRAPHIC AND PROMOTIONAL MATERIAL

9.1 Authorisation for Use of Images

Unless expressly objected to in writing by the Customer, The Restory reserves the right to photograph, document and use images of the Items in its custody for promotional, advertising, communication and marketing purposes, on any medium and channel (including, but not limited to, website, social media, printed material).

9.2 Protection of Customer Privacy

Images of the Items will be published without any reference or other element that can be traced back to the identity of the Customer.

 

ARTICLE 10 -- CUSTOMER REPRESENTATIONS AND WARRANTIES

10.1 Ownership of the Item

The Customer hereby represents and warrants that they are the lawful owner of the Item or are otherwise entitled to dispose of it for the provision of the requested Service.

10.2 Impact on Authenticity and Commercial Value

The Customer is aware and accepts that certain restoration or repair treatments may affect the perceived authenticity of the Item or its market and resale value. The Restory expressly rejects any liability for any loss of commercial value of the Item compared to the original manufacturer's models as a result of the performance of the Service.

 

ARTICLE 11 -- INDEMNITY CLAUSE

11.1 Customer Indemnity Obligation

The Customer agrees to indemnify The Restory, as well as its directors, employees, contractors and representatives, against any claims, demands, losses, damages, liabilities, costs (including legal fees) or expenses that may arise, directly or indirectly, from:

 a) Misuse of the Service: any use of the Services offered by The Restory in a manner that is not compliant with these T&Cs or the instructions provided by The Restory;

 b) Breach of Terms and Conditions: the breach or violation by the Customer of any of the obligations, representations or warranties contained in these T&Cs;

 c) False or inaccurate statements: the Customer's provision of false, incomplete, inaccurate or fraudulent information, including but not limited to, a false declaration that they are the lawful owner of the Item or that they are authorised to dispose of it;

 d) Third-party legal action: any legal action, claim or demand made by a third party against The Restory that arises from the conduct of the Customer, from the sending of unlawfully sourced, counterfeit or disputed items, or from the infringement of intellectual property rights or other third-party rights;

 e) Disputes regarding the ownership of the Item: any dispute by a third party as to the ownership, lawful possession or provenance of the Item delivered to The Restory for the provision of the Service.

11.2 Duty to Cooperate

In the event of a claim under this Article, the Customer undertakes to cooperate fully with The Restory and to provide all assistance reasonably necessary to defend against any third-party claims.

11.3 The Restory's Right of Defence

The Restory reserves the right, at its own discretion and at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by the Customer. In such cases, the Customer shall agree to cooperate with The Restory in the defence of such a claim.

 

ARTICLE 12 -- PROTECTION OF PERSONAL DATA

The processing of the Customer's personal data is governed by The Restory's Privacy Policy, which can be found on the website, drafted in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation.

 

ARTICLE 13 -- APPLICABLE LAW AND JURISDICTION

13.1 Applicable Law

These T&Cs are governed by Italian law.

13.2 Jurisdiction

For any dispute arising from the interpretation, performance or termination of the contract governed by these T&Cs, the Court of Vicenza shall have exclusive jurisdiction.

13.3 Out-of-Court Dispute Resolution

Before going to court, the parties shall attempt to settle any dispute amicably by direct negotiation.

 

ARTICLE 14 -- FINAL PROVISIONS

14.1 Amendments to the Terms and Conditions

The Restory reserves the right to amend these T&Cs at any time. Such amendments shall enter into force from the date of publication on the website and apply to contracts concluded after that date.

14.2 Partial Invalidity

Should one or more provisions of these T&Cs be declared null and void or ineffective, such nullity or ineffectiveness shall not affect the validity of the remaining provisions, which shall continue to produce their effects.

14.3 Entire Agreement Clause

These T&Cs constitute the entire agreement between the parties and supersede any prior understanding, communication or agreement, written or oral, relating to the subject matter of the contract.
